Armour Consortium AI - Cart Recovery API

1. Agreement Overview
These Terms of Service ("Terms") govern your use of the Armour Cart Recovery API and related services provided by Armour Consortium AI ("we", "us", "Armour").
By using our API or services, you agree to these Terms. If you do not agree, do not use our services.
2. Services Provided
2.1 Cart Recovery API
We provide an AI-powered API that generates personalised cart recovery content including:
- Email messages (HTML and plain text)
- SMS messages (UK, EU and USA compliant, ≤160 characters)
- WhatsApp messages (standard and cinema mode)
- Conversion predictions and analytics
2.2 Human Subscription Products
Subscription tiers and pricing are listed at armourconsortium.ai. Current offerings include custom integration packages.
2.3 x402 Agentic API
API access for autonomous AI agents via USDC micropayments on Base network.
3. Roles and Responsibilities
3.1 You (The Merchant/Controller)
You are the Data Controller and are responsible for:
- Obtaining appropriate consent from your customers
- Accurately setting consent flags (
accepts_sms_marketing, accepts_email_marketing)
- Transmitting generated content to customers
- Honouring opt-out requests within 10 business days
- Complying with all applicable laws (GDPR, PECR, CAN-SPAM, TCPA, CCPA)
3.2 Us (The Processor/Generator)
We are the Data Processor and are responsible for:
- Generating high-quality recovery content
- Processing data only as instructed via API parameters
- Maintaining security measures
- Not storing personal data beyond transient processing
We do not send any communications. All transmission is your responsibility.
4. Acceptable Use
You agree to:
- Legal Compliance: Use the API only for lawful purposes
- Accurate Data: Submit accurate consent flags and customer data
- No Abuse: Not attempt to circumvent rate limits or security measures
- No Spam: Not use generated content for unsolicited spam
- Respect Opt-Outs: Honour customer unsubscribe requests immediately
You agree NOT to:
- Use the API for illegal purposes
- Submit fraudulent or fabricated data
- Attempt to reverse-engineer our AI systems
- Resell API access without authorisation
- Use content to harass or deceive consumers
5. Pricing and Payment
5.1 x402 API Pricing

Payment is via USDC on Base network through the x402 protocol.
5.2 Subscription Pricing
Subscription tiers and pricing are listed at armourconsortium.ai. Current offerings include custom integration packages.
Billed monthly via Stripe. Cancel anytime.
5.3 Refunds
- x402 API: No refunds on completed transactions
- Subscriptions: Prorated refunds available within 14 days of billing
6. Guarantees (Subscription Products)
6.1 Graduated Growth Guard
30-day results or extended support free. Cancel anytime without penalty.
6.2 Protective Payment Plan
Month-to-month billing. No long-term contracts required.
7. Data Processing Agreement
Use of the API incorporates our Data Processing Agreement by reference. By using the API, you agree to the DPA terms.
8. Intellectual Property
8.1 Our IP
We retain all rights to:
- The API and underlying technology
- Our AI models and algorithms
- The "Armour Consortium" name and branding
- Documentation and marketing materials
8.2 Generated Content
Content generated via the API is licensed to you for use in cart recovery communications. You may not:
- Claim the AI technology as your own
- Use generated content for training competing AI systems
- Redistribute generated content outside your business operations
9. Liability Limitations
9.1 No Warranty
The API is provided "as is" without warranties of any kind. We do not guarantee:
- Specific recovery rates (37.4% is a verified average using optimal channel distribution and message timing, not guaranteed)
- Uninterrupted service availability
- Content suitability for all jurisdictions
9.2 Liability Cap
Our total liability is limited to:
- x402 API: Fees paid in the 12 months preceding the claim
- Subscriptions: Three months of subscription fees
9.3 Exclusions
We are not liable for:
- Your misuse of generated content
- Customer complaints arising from your transmissions
- Regulatory fines resulting from your non-compliance
- Indirect, consequential, or punitive damages
10. Indemnification
You agree to indemnify and hold harmless Armour Consortium AI from claims arising from:
- Your use of the API
- Your transmission of generated content
- Your violation of these Terms
- Your violation of any applicable law
- Customer complaints or regulatory actions
11. Compliance Responsibility
11.1 UK/EU (GDPR, PECR)
You are responsible for:
- Valid lawful basis for processing
- Honouring data subject rights
- Maintaining required records
11.2 USA (TCPA, CAN-SPAM, CCPA)
You are responsible for:
- Obtaining prior express written consent for SMS
- Including unsubscribe mechanisms in emails
- Maintaining suppression lists
- Honouring opt-out requests within 10 days

12. Service Level
12.1 Uptime Target
We target 99.9% uptime. Scheduled maintenance will be announced in advance.
12.2 Response Time
- API average: ~10.5 seconds
- Quote endpoint: <50ms
12.3 Rate Limits
220 requests per minute (global usage). Exceeding limits returns 429 with Retry-After header.
13. Termination
13.1 By You
You may stop using the API at any time. Subscription cancellations take effect at billing period end.
13.2 By Us
We may terminate access if you:
- Violate these Terms
- Use the API for illegal purposes
- Fail to pay for services
- Engage in abuse or fraud
13.3 Effect of Termination
Upon termination:
- API access revoked immediately
- No data to delete (transient processing)
- Outstanding payments remain due
14. Dispute Resolution
14.1 Informal Resolution
Contact us first at hello@armourconsortium.ai. We aim to resolve disputes within 30 days.
14.2 Governing Law
- UK Users: Laws of England and Wales
- EU Users: Laws of the user's member state
- Other Users: Laws of England and Wales
14.3 Jurisdiction
Courts of England and Wales have exclusive jurisdiction, except where local consumer protection laws require otherwise.
15. Changes to Terms
We may update these Terms periodically. Material changes will be notified via:
- Website announcement
- Email to registered users (subscriptions)
Continued use after changes constitutes acceptance.
16. Severability
If any provision is found unenforceable, the remainder of these Terms remains in effect.
17. Entire Agreement
These Terms, together with the DPA and Privacy Policy, constitute the entire agreement between you and Armour Consortium AI.
